1. About these terms

These terms govern your use of this website, operated by Black Badge, an AI automation and software studio based in Pretoria, South Africa. By using this website you accept these terms. Individual client engagements are governed by separate written agreements; where those differ from these terms, the written agreement applies.

2. Services

Black Badge provides software development, SaaS platform builds and deployments, AI and conversational agent development, workflow automation and related consulting services. Descriptions on this website are for general information and do not constitute an offer; all engagements are scoped and priced individually.

3. Quotes, payment and delivery

• Written quotes are valid for 14 days unless stated otherwise.
• Projects typically require a deposit before work begins; the balance and any retainer terms are set out in the applicable quote or agreement.
• Timelines are estimates made in good faith and depend on timely client feedback, access and approvals.

4. Intellectual property

On full payment, clients receive the rights to the bespoke deliverables set out in their agreement. Black Badge retains ownership of its pre-existing tools, frameworks and internal software - including Loop, our project tracking platform - and of general know-how used to deliver the work. Client logos are displayed on this site with permission; testimonials reflect individual experiences.

5. Confidentiality

We treat client business information, data and system access as confidential and use them only to deliver the agreed work. We expect the same of clients regarding our non-public tools and pricing.

6. Third-party platforms

Our deliverables often integrate third-party platforms (hosting, messaging, AI model and payment providers). Those platforms are governed by their own terms, and we are not responsible for their availability, pricing changes or policy decisions.

7. Liability

To the maximum extent permitted by law, Black Badge is not liable for indirect or consequential loss arising from the use of this website or our services. Our total liability in respect of any engagement is limited to the fees paid for that engagement, unless a written agreement provides otherwise. Nothing in these terms limits liability that cannot lawfully be excluded.

8. Governing law

These terms are governed by the laws of the Republic of South Africa, and the South African courts have jurisdiction over any dispute arising from them.
